AUSA Members Asked to Vote on Bylaws Revisions

             On Jan. 25, 2010, the Association of the United States Army’s Council of Trustees voted unanimously to adopt proposed revisions to the Association’s Bylaws submitted by the Advisory Board of Directors Standing Bylaws Committee.

 The revisions are:

  1. Updating and reordering structure for ease of use.

  1. Modification of Article IV, Council of Trustees.

Section 2. Composition. Change in number of members “eleven (11) members” to “at least 11 members.”

  1. Modification of Article IV, Council of Trustees.

Section 5. Meetings.  Change in number of mandatory meetings.  The Council shall meet no less frequently than annually to conduct such Association business as may be necessary and desirable. The Council’s Chairman may call additional meetings at such times as deemed appropriate.  Further, the Chairman shall be required to call one or more special meetings when requested to do so in writing by any three members of the Council.

  1. Change in location of Article IX.  Finance and Audit Committee.

Moved to Section 5 under Article VII in new draft. Section 5, a. Appointment. Remove cap on number of committee members.  Delete “and not more than five (5).”

             A vote of the General Membership is necessary for ratification as required by Article XIV, Section 2.
